1. Acceptance of Terms

By accessing our website or engaging our services, you agree to these Terms of Service. If you do not agree, please do not use our site or services.

2. Our Services

HexxGen Digital provides digital marketing services, including SEO, local SEO and Google Business Profile management, paid advertising including Google Ads campaign management, content, web development, social media, and analytics. The specific scope of any engagement is defined in your plan or a separate written agreement.

3. Plans, Billing & Payment

Plans are billed monthly (or annually where selected) and are month-to-month unless otherwise agreed. Fees cover our management and strategy; advertising budget paid directly to platforms (e.g. Google, Meta) is separate. You may cancel with 30 days' notice. Fees are quoted and billed in US dollars unless otherwise agreed in writing, and are due at the start of each billing period. Except where required by law, fees for periods already delivered are non-refundable.

4. Client Responsibilities

To deliver results, we rely on you to:

• Provide timely access to accounts, assets, and approvals we reasonably need.
• Ensure any materials you provide are accurate and that you hold the necessary rights to them.
• Use our services lawfully and in line with platform policies.

5. Connected Accounts & Google API Use

Some services let you connect third-party accounts, including Google (such as Google Ads, Google Business Profile, and Google Analytics). When you connect an account, you authorise HexxGen to access and manage it on your behalf through the relevant APIs, including the Google Ads API, solely to provide the services you request.

You confirm that you are authorised to connect and grant access to any account you link, and that your use complies with the applicable platform terms. Our handling of data accessed through Google APIs is described in our Privacy Policy and follows the Google API Services User Data Policy, including the Limited Use requirements. You may disconnect your accounts at any time.

6. Intellectual Property

Work we create specifically for you becomes yours upon full payment for the relevant services. We retain ownership of our pre-existing tools, processes, and templates. You grant us a licence to use your brand assets solely to perform the services.

7. Confidentiality

Each party agrees to keep the other's confidential information private and to use it only to perform or receive the services.

8. Results & Guarantee

We are committed to measurable results and offer a 30-day results guarantee as described on our site: if you do not see measurable progress within the stated period, we continue working at no additional management cost until you do. Beyond this, we cannot guarantee specific rankings, revenue, or outcomes, as these depend on factors outside our control (including platform algorithms and market conditions). The guarantee runs from campaign go-live, requires timely access and approvals from your side, and applies to our management fees only, never third-party ad spend.

9. Limitation of Liability

To the maximum extent permitted by law, HexxGen's total liability arising from the services is limited to the fees you paid us in the three (3) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

10. Termination

Either party may terminate with 30 days' written notice. We may suspend or terminate services for non-payment or breach of these terms. On termination, you retain ownership of deliverables paid for in full.

11. Governing Law

These terms are governed by the laws of India, and any disputes will be subject to the exclusive jurisdiction of the courts of New Delhi, India.

12. Changes to These Terms

We may update these terms from time to time. Continued use of our services after changes take effect constitutes acceptance of the updated terms.
